Please read these Terms & Conditions carefully before engaging with Spine Services. By booking a meeting, requesting a proposal, or engaging our services, you agree to be bound by these terms.

1. Scope of Services

Spine Services provides AI-enabled strategic intelligence, consulting, and medical-scientific support services to pharmaceutical and biotech organisations. The specific scope, deliverables, timelines, and fees for each engagement are defined in a mutually agreed Statement of Work (SOW) or proposal document. No services commence without written agreement.

2. Intellectual Property

All deliverables, reports, analyses, frameworks, and materials produced by Spine Services under a client engagement remain the intellectual property of Spine Services until full payment is received. Upon receipt of full payment, the client receives a non-exclusive, non-transferable licence to use the deliverables for internal business purposes. Spine Services retains the right to use anonymised methodologies and frameworks for future engagements.

3. Confidentiality & NDA

All client engagements are conducted under strict confidentiality. Spine Services will not disclose client information, data, or project details to third parties without prior written consent. A formal Non-Disclosure Agreement (NDA) can be executed upon request before any information is exchanged. Client data shared with Spine Services is used solely for the purpose of delivering agreed services.

4. Meeting Booking Disclaimer

Booking a meeting through the Calendly widget on this website does not constitute a contractual engagement or commitment by either party. Meetings are exploratory or project discussions only. No fees are charged for initial discovery meetings unless otherwise agreed in writing.

5. Payment Terms

Payment terms are defined in the SOW or invoice. Standard terms are 30 days from invoice date unless otherwise agreed. Late payments may attract interest at 1.5% per month. Spine Services reserves the right to suspend services in case of non-payment beyond 45 days.

6. Limitation of Liability

Spine Services shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our services or deliverables. Our total liability in connection with any engagement shall not exceed the fees paid by the client for that specific engagement. All insights and analyses are provided for decision-support purposes only and do not constitute legal, regulatory, or financial advice.

7. Disclaimer of Warranties

Services are provided on an "as-is" basis. While Spine Services applies best-in-class methodologies and expert judgement, we do not warrant that outputs will be error-free or that all market or competitive information will be exhaustive or guaranteed to be current at the time of delivery.

8. Governing Law & Jurisdiction

These Terms & Conditions are governed by the laws of India. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Bangalore, Karnataka, India.

9. Amendments

Spine Services reserves the right to update these Terms & Conditions at any time. The updated date at the top of this page indicates the most recent revision. Continued engagement with Spine Services after any update constitutes acceptance of the revised terms.
